Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between Dealerspot ("Dealerspot," "we," "us," or "our") and the customer entity or individual ("Customer," "you," or "your") who accesses or uses Dealerspot’s dealer‑management software, mobile applications, APIs, websites, and related services (collectively, the "Service"). By (a) creating an account, (b) clicking "I Agree," or (c) otherwise accessing or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Eligibility & Account Security

You must be at least 18 years old and have the legal capacity to enter into contracts to use the Service. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You will promptly notify us of any unauthorized use or security breach.

2. Subscription, Fees & Payment

The Service is offered on a subscription basis for the fees described on the order form or checkout page ("Fees"). Unless otherwise stated:

  • Fees are in U.S. dollars (USD) and exclusive of taxes.
  • Invoices are due net‑30 from the invoice date.
  • Subscriptions auto‑renew for successive terms equal to the initial term unless either party gives 30 days’ prior written notice of non‑renewal.
  • You authorize Dealerspot (or its payment processor) to charge your designated payment method for all Fees. Late payments accrue 1.5 % interest per month (or the maximum permitted by law, if lower).

3. License & Permitted Use

Subject to timely payment of Fees and continuous compliance with these Terms, Dealerspot grants you a limited, non‑exclusive, non‑transferable, non‑sublicensable right during the subscription term to use the Service solely for your internal business purposes.

4. Restrictions

You shall not (and shall not allow any third party to):

  • Copy, modify, or create derivative works of the Service.
  • Reverse engineer, decompile, disassemble, or attempt to discover the source code.
  • Rent, lease, sell, assign, or otherwise transfer rights in the Service.
  • Remove or obscure any proprietary notices.
  • Use the Service to develop a competing product or service.
  • Use the Service in violation of any applicable law or regulation (including export controls).

5. Artificial‑Intelligence Features

The Service may include optional features powered by third‑party or proprietary machine‑learning models ("AI Features"). By using any AI Features you instruct Dealerspot and its upstream model providers to process submitted inputs and generated outputs ("AI Data") for the purpose of providing and improving the AI Features. Dealerspot does not use AI Data to train models for third parties, but model providers may process AI Data solely as allowed under their applicable policies. You represent that you have obtained all rights and consents necessary to submit AI Data and that AI Data will not infringe, misappropriate, or violate any third‑party right or applicable law.

6. Third‑Party Services

The Service may include or interoperate with third‑party components, products, or services—some are built‑in and others may be integrated at your discretion. Dealerspot isnot responsible for any third‑party components or services, including their terms, privacy, or security practices.

7. Ownership & Feedback

Dealerspot and its licensors retain all right, title, and interest in and to the Service, including all intellectual‑property rights. Any feedback, suggestions, or improvements you provide are non‑confidential and may be used by Dealerspot without restriction or compensation.

8. Confidentiality

"Confidential Information" means any non‑public information disclosed by one party ("Discloser") to the other ("Recipient") that is…

Recipient will use Discloser’s Confidential Information only to exercise its rights and perform its obligations under these Terms and will protect such information with at least the same degree of care it uses to protect its own similar information (but not less than reasonable care).

9. Term, Termination & Suspension

These Terms begin on the earlier of the date you first access the Service or accept these Terms and continue until terminated. Either party may terminate for material breach if the breach remains uncured 30 days after written notice. Dealerspot may suspend your access immediately for any violation of Section 4 or if required by law.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON‑INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR‑FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEALERSPOT’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT ACTUALLY PAID BY YOU TO DEALERSPOT FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

12. Indemnification

You will defend, indemnify, and hold harmless Dealerspot, its affiliates, and their respective officers, directors, employees, and agents from and against any third‑party claims arising out of: (a) your use of the Service; (b) AI Data or other content you submit; or (c) your violation of these Terms or applicable law.

13. Governing Law & Venue

These Terms are governed by the laws of the State of Tennessee, USA. Any dispute will be brought exclusively in the state or federal courts located in Nashville, Tennessee, and each party submits to the personal jurisdiction of such courts.

14. Miscellaneous

  • Entire Agreement. These Terms (and any order form) constitute the entire agreement and supersede all prior agreements regarding the Service.
  • Amendment. Dealerspot may modify these Terms upon notice. Changes take effect at the next renewal term; continued use after that constitutes acceptance.
  • Force Majeure. Dealerspot is not liable for delays or failures due to events beyond its reasonable control.
  • Assignment. You may not assign these Terms without Dealerspot’s consent; Dealerspot may assign freely.
  • Severability. If any provision is held invalid, the remaining provisions remain in full force.
  • No Waiver. Failure to enforce any provision will not constitute a waiver.
